Terms and Conditions for CityTime Software

1. Acceptance of Terms
By accessing or using CityTime ("the Software"), provided by Cityweb Pty Ltd (ABN [Insert ABN]) ("we," "us," or "our"), you agree to comply with these Terms and Conditions ("Terms"). If you do not agree, you may not use the Software.
2. License Grant
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to use CityTime solely for your internal business or personal purposes. This license does not permit resale, redistribution, or modification of the Software.
3. Account Registration
You must create an account to access CityTime.
You agree to provide accurate information and keep login credentials secure.
You are responsible for all activities under your account.
4. Payment Terms
Fees for subscriptions or licenses are specified at https://cityweb.com.au/citytime.
Payments are processed via secure third-party gateways (e.g., Stripe, PayPal).
Subscriptions auto-renew unless canceled before the billing cycle.
5. User Responsibilities
You agree NOT to:
Reverse-engineer, decompile, or copy the Software.
Use CityTime for unlawful purposes or to infringe third-party rights.
Share accounts or access with unauthorized users.
6. Intellectual Property
Cityweb retains all rights, title, and interest in CityTime, including trademarks, code, and design.
User-generated content (e.g., data input) remains your property, but you grant us a license to process it for service delivery.
7. Support and Updates
We may provide updates, patches, or technical support at our discretion.
Scheduled maintenance may temporarily disrupt access (we will notify you in advance where possible).
8. Data Privacy
Your use of CityTime is subject to our Privacy Policy, which complies with the Privacy Act 1988 (Cth) and Australian Privacy Principles (APPs).
9. Third-Party Integrations
CityTime may integrate with third-party services (e.g., calendars, payment processors). We are not responsible for their terms, privacy practices, or outages.
10. Limitation of Liability
To the extent permitted by law, we exclude liability for indirect, incidental, or consequential damages.
Our total liability is limited to fees paid by you in the 12 months preceding a claim.
Australian Consumer Law (ACL): Our services come with guarantees under the ACL (e.g., due care and skill). These Terms do not exclude statutory rights.
11. Termination
We may suspend or terminate your access if you breach these Terms. Upon termination:
Your license ends, and you must cease using CityTime.
No refunds are provided for pre-paid fees unless required by law.
12. Dispute Resolution
Disputes will be resolved under the laws of [Insert Australian State/Territory].
Parties agree to negotiate in good faith before pursuing formal proceedings.
